Terms of Service

Last updated September 26, 2026

Agreement to these terms

These Terms of Service govern access to upwin, an independent service operated by Ayoub Fedil, an individual developer based in Morocco ("we", "us"). By creating an account, buying a subscription, or using the service, you agree to these terms.

If you use the service for a business or another person, you confirm that you have authority to accept these terms for them.

What upwin provides

upwin is subscription software that helps independent professionals review their own Upwork profile, assess project fit against their stated goals, prepare editable proposal drafts and screening answers, and record proposal outcomes. upwin does not host listings or connect businesses with freelancers.

The service includes a web application and a Chrome extension. Features may change as the product develops, but the boundaries described below apply to the current service.

Eligibility

You must be legally able to enter a contract where you live. If local law requires you to be an adult to buy a subscription, you must have reached that age.

You may not use the service if doing so would violate applicable law, sanctions, or another binding obligation.

Accounts and account security

Clerk provides account authentication. You are responsible for accurate account information, protecting your sign-in method, and activity carried out through your account.

Tell us promptly at support@upwin.app if you believe someone has accessed your account without permission.

The Upwork boundary

upwin is an independent product. It is not affiliated with, sponsored by, or endorsed by Upwork. Upwork is responsible for its own platform and terms.

The extension reads the already-rendered page only after you start a supported action. Capture is one-shot and user-initiated. It does not poll, observe page changes, scrape in the background, scroll, click, navigate, call Upwork internal APIs, read cookies, or crawl other freelancers.

  • Use capture only on supported pages that you are permitted to access.
  • Review every draft and answer before using it.
  • upwin never changes an Upwork form or submits a proposal on your behalf.
  • You remain responsible for the accuracy, legality, and final content of anything you send.

Acceptable use

Use the service only for lawful work connected to your own freelance activity. Do not misuse the service or help someone else do so.

  • Do not upload content you do not have the right to use.
  • Do not probe, bypass, or interfere with security or access controls.
  • Do not use generated text to deceive, impersonate, harass, discriminate, or make claims you know are false.
  • Do not use the service to generate sexually explicit, suggestive, violent, hateful, or otherwise unlawful content.
  • Do not resell, reverse engineer, or copy the service except where applicable law expressly permits it.

AI output and scoring

Scores, explanations, suggestions, proposal drafts, and screening answers are generated or assisted by AI. They can be incomplete, inaccurate, or unsuitable for a particular client or project.

A Winning Score is a product assessment based on versioned criteria and your selected goal. It is not an Upwork score, professional advice, or a prediction of a client decision.

You must review output before relying on it. upwin does not guarantee replies, contracts, earnings, profile visibility, or any other outcome.

Subscriptions, renewal, and taxes

Free includes 1 profile analysis, 3 proposal drafts, 6 project fit checks, 10 draft refinements, 15 profile suggestions, and 3 document imports per calendar month. Pro includes 20 profile analyses, 100 proposal drafts, 200 project fit checks, 300 draft refinements, 400 profile suggestions, and 10 document imports per calendar month. All allowances reset on the first day of each month in UTC, including for annual subscriptions.

A recurring Pro subscription renews monthly or annually at the interval and price shown at checkout until it is canceled. You authorize the first charge and each renewal charge. Creem calculates applicable sales tax or VAT at checkout as Merchant of Record.

You can cancel at any time from the billing portal. A scheduled cancellation stops the next renewal and keeps Pro access through the current paid period. We do not prorate the unused part of that period. The Refund & Cancellation Policy explains the separate refund rules.

We will notify you in advance before a price change applies to a future renewal, as required by law.

Payments are processed by Creem, the Merchant of Record for all our orders. Creem handles checkout, payment processing, sales tax or VAT, invoices, and approved refunds. We provide product and billing support directly.

Your content and our product

You keep ownership of profile text, imported documents, project information, instructions, and other material you submit. You give us a limited right to host, copy, transmit, and process that material only to operate, secure, and improve the service for you.

We and our licensors keep ownership of upwin, including its software, interface, scoring implementation, prompts, documentation, branding, and other product materials. These terms do not transfer that ownership to you.

Suspension and termination

You may stop using the service or cancel a subscription at any time. You may also ask us to close your account, subject to identity verification and records we must keep by law.

We may suspend or end access if you materially breach these terms, create a security risk, fail to pay a due charge, or use the service unlawfully. Where practical, we will give notice and a chance to correct the issue.

Service availability and disclaimers

The service is provided on an "as is" and "as available" basis to the extent the law allows. We do not promise uninterrupted availability, error-free output, or compatibility with every change made by Upwork, Chrome, Clerk, or another third party.

Nothing in these terms excludes a warranty or consumer right that applicable law does not allow us to exclude.

Limits on liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, revenue, business, data, or opportunity arising from the service.

To the fullest extent permitted by law, our total liability for claims connected with the service will not exceed the amount you paid to upwin during the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot legally be limited.

Governing law and disputes

These terms are governed by the laws of the Kingdom of Morocco, without regard to conflict-of-law rules. If you use upwin as a consumer, you keep the protection of the mandatory laws of your country of residence and may bring a claim in its courts.

Before filing a claim, contact support@upwin.app and give both sides a reasonable chance to resolve the issue informally.

Changes to these terms

We may update these terms when the service, providers, or legal requirements change. We will post the revised terms with a new last-updated date. If a change materially reduces your rights, we will use a reasonable additional notice method, such as an in-product or email notice.

Continued use after revised terms take effect means you accept them. If you do not agree, stop using the service and cancel before the next renewal.
